Tessetto Terms of Service
Last updated: 13 October 2026 (before the first release)
These terms are an agreement between you, the Shopify merchant who installs Tessetto ("you"), and Vitalcore Research Inc., doing business as Nolarine, 30 N Gould St, Ste R, Sheridan, WY 82801, USA ("we", "us"). By installing or using Tessetto ("the App") you agree to them. If you don't agree, don't install the App.
1. What the App does
The App lets you sell memberships in your Shopify store, as recurring plans or prepaid terms bought in Shopify's checkout. It gives members the perks and access you choose while their membership is paid, bills renewals through Shopify using the payment method the member saved at checkout, retries failed payments, emails members about their membership on your behalf, and ends the membership's perks and access when it is cancelled, refunded or runs out. Payments are processed by Shopify and its payment providers. We are not a payment processor or bank, we never hold your or your members' money, and we are not a party to your sales or to your agreement with your members.
2. Your responsibilities
You are responsible for your store, your memberships and your sales, including:
- Your membership terms: what members get, the price, how often they are charged, how they cancel, and your refund policy; publishing them in your store and making sure members understand them before they join.
- Complying with the laws that apply to you in every place you sell, including consumer protection, automatic renewal and subscription, distance-selling, tax and privacy laws. The App sends renewal reminders and lets members cancel in their customer account, but you decide whether that meets the rules where your members live.
- Delivering the perks you promise, including anything the App does not do for you (for example events, physical goods or services outside your online store).
- Decisions about refunds, cancellations, price changes, complimentary memberships and ending memberships early, and the amounts you refund.
- Chargebacks, disputes, failed payments and any losses from memberships, including access given during a grace period you set.
- Checking how members-only products behave in your store before you rely on them: the App blocks checkout of members-only products for anyone without the membership, but product pages and product information stay public, as the App's help explains.
- Keeping the information you enter in the App accurate.
You must not use the App for anything Shopify's terms don't allow, or for anything illegal.
3. Shopify
The App runs on Shopify and depends on Shopify's services, APIs and approvals, including Shopify's approval for apps that bill subscriptions. Your use of Shopify is governed by Shopify's own terms. We are not responsible for Shopify's services, outages, decisions or changes, including changes that affect what the App can do. When the App is uninstalled, Shopify cancels the members' subscriptions the App created, 48 hours later.
4. Plans, fees and trials
- Paid plans are billed by Shopify on your Shopify invoice through Shopify's billing system. Prices are shown in the App and on our App Store listing.
- We never charge a fee or commission on your sales or your members' payments, and there is no charge per member.
- Paid plans include a free trial as stated on the listing. Each store gets one free trial; reinstalling the App continues the same trial rather than starting a new one. You can switch plans at any time on the App's Plan page. To cancel, use the App's Plan page, or uninstall the App (Shopify admin, Settings, Apps, Tessetto, Uninstall); Shopify then stops billing for it.
- Without an active plan, the App stops billing renewals and new members can't join, but memberships still end on their paid-through date so nobody keeps perks they have not paid for.
- Fees are not refundable except where the law requires or Shopify's billing rules provide otherwise.
- If we change our prices, your current subscription keeps its price; new prices apply only to new subscriptions. We announce price changes in the App at least 30 days ahead.
5. Data and privacy
Our handling of personal information is described in the Tessetto Privacy Policy. For your members' information you are the controller and we process it on your behalf to provide the App. You are responsible for having a lawful basis to share it with us and for your own privacy notice to your members.
6. Availability and support
We work to keep the App running and to fix problems promptly, but the App is provided "as is" and "as available". We do not guarantee it will be uninterrupted or error-free, that every renewal will be collected, or that a perk will switch on or off at the exact moment of a payment or an ending. We provide support by email at support@nolarine.com.
7. Limitation of liability
To the fullest extent the law allows:
- We are not liable for any indirect, incidental, special, consequential or punitive damages, or for lost profits, revenue, sales, data or goodwill.
- We are not liable for the acts or omissions of Shopify, payment providers, other service providers or your customers and members.
- We are not liable for uncollected renewals, failed, delayed or declined charges, chargebacks, refunds, perks or access given or kept by mistake, members-only products bought in ways Shopify's checkout does not check, or changes you make to member tags, discounts, products or subscriptions outside the App.
- Our total liability for all claims relating to the App is limited to the fees you paid us for the App in the 12 months before the claim.
Some places don't allow these limits, so they may not fully apply to you.
8. Indemnity
You agree to defend and indemnify us against claims, losses and costs (including reasonable legal fees) arising from your store, your sales, your memberships and membership terms, your policies, your use of the App, or your breach of these terms or the law.
9. Ending the agreement
You can stop using the App at any time by uninstalling it. Before you do, the App's "Before you uninstall" page shows what stays in your store and lets you remove member tags and set membership products to draft. We may suspend or end your access if you breach these terms or misuse the App, or if we stop offering the App, with reasonable notice where possible. Sections 2, 7, 8 and 10 survive.
10. General
- Governing law: the laws of the State of Wyoming, United States, without regard to conflict of laws rules. The state and federal courts located in Sheridan County, Wyoming have exclusive jurisdiction, unless the law gives you the right to bring proceedings elsewhere.
- We may update these terms. We will post changes here and notify you in the App; continuing to use the App after a change means you accept it.
- If any part of these terms is unenforceable, the rest still applies.
- These terms and the Privacy Policy are the whole agreement between us about the App.
